SERVICE AGREEMENT

THIS AGREEMENT made the day the Client accepted this SERVICES AGREEMENT. (“Effective Date”).
BETWEEN:
UNCLAIMED ASSETS OF CANADA CONSULTING LTD., a corporation incorporated under the laws of the Province of British Columbia, of #2 – 1275 Guthrie Road, Comox, British Columbia, V9M 4E6
(Hereinafter called “UAOCC”)
-and-
The Client whose name and address is provided in the Name and Address fields on the Conduct a Search page.
(Hereinafter called the “CLIENT”)
WHEREAS UAOCC is in the business of providing potential unclaimed money searches for individual Clients and notifying each Client the results of each search for a fee;
AND WHEREAS UAOCC is an independent Limited Company unaffiliated in any way with any existing company, corporation, organization or financial institution;
NOW THEREFORE in consideration of the mutual covenants contained therein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

    1. Services
      1. UAOCC shall undertake to attempt to search for any potential unclaimed money in the name to be searched which was provided by the Client.
      2. UAOCC shall report the results of the potential unclaimed money search to the Client.
    2. UAOCC’s Obligations and Responsibilities
      1. UAOCC shall act as the agent of the Client in the potential unclaimed money search and the common law duties of agency between the Client and UAOCC shall apply.
      2. UAOCC shall perform the potential unclaimed money search in a professional, diligent and timely manner.
      3. UAOCC shall maintain the privacy of the Client and shall only disclose as much information about the Client as is necessary to perform the potential unclaimed money search.
      4. UAOCC shall cease to be the agent of the Client once the result of the potential unclaimed money search is disclosed to the Client.
    3. Client’s Obligations and Responsibilities
      1. Client shall provide any and all information necessary for UAOCC to perform the potential unclaimed money search.
      2. Client shall provide a valid working E-mail to UAOCC in the Name and Address box of the Conduct a Search page of UAOCC website in order for the result of the potential unclaimed money search to be disclosed to the Client.
    4. Covenants, Representations and Warranties- UAOCC
      1. UAOCC does not make any guarantees that UAOCC shall be able to find any unclaimed money while performing a potential unclaimed money search on behalf of the Client.
      2. UAOCC shall only use the information provided by the Client for the purpose of performing a potential unclaimed money search and will not use the information for any other purpose.
    5. Fees
      1. UAOCC shall charge a Search fee, plus Goods and Services Tax (GST) at the rate in force at the time of the potential unclaimed money search.
      2. The Client understands that all sales are final once the Search fee is paid to UAOCC.
    6. Indemnification
      The Client shall indemnify and hold harmless UAOCC, its directors, officers, employees and agents (each an “Indemnified Person”), against any loss, demand, cause of action, damage, claim, expense (including reasonable legal fees) or liability arising from or in connection with UAOCC’s successful or unsuccessful attempt to perform a potential unclaimed money search on behalf of the Client including any loss that results from an error made in good faith save for wilful misconduct or the wilful failure to act in good faith. The Client shall not hold UAOCC liable in any way for any reason for the lack of success in performing a potential unclaimed money search on behalf of the Client and UAOCC shall not be liable to the Client for any damages whatsoever (including, without limitation, compensatory damages, damages for lost profits, loss of revenue, business interruption or loss or damage to data) arising out of the use of any information or materials provided by the Client, whether a claim is asserted in contract, tort or otherwise.
    7. Mediation and Arbitration
      In the event a dispute arises out of or in connection with this Agreement, the parties may submit any or all outstanding issues to mediation in accordance with any statutory rules of mediation. If mediation is not successful in resolving the entire dispute or is unavailable, any outstanding issues will be submitted to final and binding arbitration in accordance with the laws of the Province of British Columbia. The arbitrator’s award will be final, and judgment may be entered upon it by any court having jurisdiction within the Province of British Columbia.
    8. Time is of the Essence
      Time is of the Essence in this Agreement.
    9. Counterparts
      This Agreement may be executed in several counterparts, each of which will be deemed to be an original and all of which will together constitute one and the same instrument.
    10. Jurisdiction
      The laws of the Province of British Columbia shall govern this Agreement.
    11. Headings
      Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine gender include the feminine gender and vice versa.
    12. Invalid Term
      If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the parties’ intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provisions of this Agreement will in no way be affected, impaired or invalidated as a result.
    13. Entire Agreement
      This Agreement contains the entire agreement between the parties. All negotiations and understandings have been included in this Agreement. Statements or representations which may have been made by any party to this Agreement outside of this Agreement are declared to be of no value in this Agreement. Only the written terms of this Agreement will bind the parties.
    14. Succession
      This Agreement and the terms and conditions contained in this Agreement apply to and are binding upon the parties’ successors, assigns, executors, administrators, beneficiaries and representatives.
    15. Notice
      E-mail notifying a Client of the result of a potential unclaimed money search will be deemed completed when E-mail is sent to the Client and the service of UAOCC as agent to the Client shall be completed. Should a non working E-mail provided by a Client to UAOCC prevent the result of a potential unclaimed money search from being delivered to a Client, then the service of UAOCC as agent to the Client shall be completed.

    By checking the “I Agree” box below, the Client has agreed to this Services Agreement in its entirety and the Client has entered into a temporary contract with UAOCC for a potential unclaimed money search.
